End-User License Agreement (EULA)

IMPORTANT — PLEASE READ CAREFULLY: This End-User License Agreement ("Agreement") is a legal contract between you ("Licensee") and SRM Programming Dynamics ("Licensor") for the use of the Studio Song & Artist Management System software application ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software.

1. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, limited license to install and use the Software on a single computer or device owned or controlled by Licensee, solely for Licensee's personal or internal business operations in connection with music production, studio management, artist tracking, and related activities.

2. Scope of Use

  1. The Software may be used only by the registered licensee identified during software activation.
  2. The Licensee may make one (1) backup copy of the Software for archival purposes only.
  3. The Software may not be installed on more than one device at a time without the express written permission of Licensor.
  4. Use of the Software in a networked or multi-user environment requires a separate site license agreement from Licensor.

3. Restrictions

Licensee shall NOT:

  1. Copy, reproduce, distribute, or publicly display the Software or any portion thereof;
  2. Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software;
  3. Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or this license to any third party;
  4. Remove or alter any proprietary notices, labels, or marks on the Software;
  5. Use the Software for any unlawful purpose or in violation of any applicable law or regulation.

4. Intellectual Property

The Software, including all source code, object code, documentation, design elements, screen layouts, and all other components, is the exclusive intellectual property of SRM Programming Dynamics and is protected by United States copyright law and international treaty provisions. All rights not expressly granted herein are reserved by Licensor.

5. Data Ownership

All data entered into the Software by the Licensee, including but not limited to song records, client information, studio bookings, employee records, and financial transactions, remains the sole property of the Licensee. Licensor claims no rights to Licensee's data. Licensee is solely responsible for maintaining backups of their data.

6. Updates and Support

This license does not entitle Licensee to receive software updates, upgrades, or technical support unless separately agreed upon in writing by Licensor. Licensor may, at its sole discretion, provide updates or enhancements to the Software. Any such updates shall be governed by the terms of this Agreement unless accompanied by a separate license.

7. Limited Warranty and Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE LICENSE.

9. Term and Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately upon written notice if Licensee breaches any provision of this Agreement. Upon termination, Licensee must immediately cease all use of the Software and destroy all copies, full or partial, of the Software in Licensee's possession. Sections 3, 4, 7, 8, and 10 shall survive any termination of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Gwinnett County, Georgia.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, representations, and understandings, whether written or oral, relating to the Software. This Agreement may be amended only by a written instrument signed by both parties.

💡 Groq can't literally "listen" to an uploaded drum recording, so rather than faking that, this tool reads the actual kick/snare hit positions from a Drum Pattern Architect pattern already generated in this session (if any) and gives that real structured rhythm data to the AI — genuinely tighter rhythmic lock-in than a text description alone. Swing distorts the even eighth-note grid so the first note of each pair is lengthened and the second shortened — 50% is straight/even, 66% is classic "triplet swing," applied at playback and baked into the exported MIDI, without changing the written notation itself.
